1. Introduction

The lifestyle management services described herein below are available to the Member, subject to these terms and conditions (the “Terms”) and the Applicable Law. Services are being provided by North Side International Limited (owner of the brands The Sun Secret Collection and RED CIRCLE) - registered in England and Wales No. 11440097 – Our registered VAT number is 303746420 and our registered office is: First Floor - 26, Cowper Street - London - EC2A 4AP (“The Sun Secret Collection”, “RED CIRCLE” or “we”, “us”).


2. Definitions

Member: means a natural person, corporate or unincorporated body (whether or not having separate legal personality) registered as a member of the Membership Club.

Membership: means the right to use the Services and receive any other benefits provided for by the Terms.

Membership Card: means the card issued to Members by RED CIRCLE upon acceptance of a Membership application.

Membership Club: means RED CIRCLE owned by North Side International Limited.
Membership Fees: means the fees payable in respect of Membership notified to Members upon application for and prior to renewal of Membership.

Website: means the website located at www.clubredcircle.com.

Request: means a request placed by a Member to arrange the supply of Products and/or Services from a third party on the Member's behalf.

Services: means the concierge and lifestyle management services provided by RED CIRCLE to its Members as part of their Membership, including the purchase/arrangement of the Products on the Member’s behalf.

Products: means any goods, services and other deliverables purchased from/arranged through the Suppliers by RED CIRCLE on the Member’s behalf.

Supplier: means any supplier, service provider, seller or reseller engaged by RED CIRCLE on behalf of and as agent for a Member to provide products and/or services to that Member.

Costs: means the amounts of any costs, expenses, charges, commissions and fees (including, without limitation, the price of the Products, service charges, cancelation fees, delivery, and shipping costs, customs duties, taxes in the course of the Services’ provision

3. Membership

3.1. The Membership is subject to a minimum period of 12 months.
3.2. The Membership may be granted or declined by RED CIRCLE at its sole discretion and for any reason. We are under no obligation to provide reasons for our acceptance or refusal of any application or renewal.
3.3. You are obliged to provide true, accurate, complete and up-to-date personal data when you apply for Membership and notify RED CIRCLE in due course of any changes in such personal data. The failure to do so may result in invalidating the Membership.
3.4. The Membership commences on the date of accepting the relevant application by RED CIRCLE (conditional upon the receipt by RED CIRCLE of the Annual or Monthly Membership Fee in full) and is effective for 12 months thereafter unless the Membership has terminated earlier pursuant to the Terms. You can terminate the contract at any point by giving us one month’s notice.


4. Membership Fee, Costs, and Payments

4.1. You are entitled to an initial 3-month grace period should you change your mind on membership, during which you can cancel your membership immediately. You won’t be charged for this period of your membership.
4.2. The amount of the Black Membership Fee is EUR 5,000 per annum or EUR 500 per month (which includes VAT). The amount of the Platinum Membership Fee is EUR 3,000 per annum or EUR 300 per month (which includes VAT). Bespoke and Corporate memberships are agreed on a per- case basis.
4.3. The Membership Fee is non-refundable.
4.4. Membership fees are paid monthly or annually in advance by direct debit or payment card. You authorise RED CIRCLE to deduct membership fees by direct debit or payment card.
4.5. On request we can provide an invoice for annual membership. We will issue it after the acceptance of the Application. Subsequently, RED CIRCLE will issue its invoices prior to the beginning of the appropriate term. Invoices are due and payable within five (5) business days of their issuance.
4.6. Membership is automatically renewed unless terminated by the member. See 5. TERMINATION OF MEMBERSHIP.
4.7. Any increase or decrease to the Membership Fees for subsequent years of Membership will be notified to all Members in advance or their renewal dates.
4.8. On request we do offer our time and services on an ad hoc basis to non- members. This is charged at an hourly rate at EUR 100 (which includes VAT) per hour (or part of an hour).
4.9. Where a service requires a deposit to be paid you hereby authorise us to debit your Payment Card for the amount of any deposit paid by us on your behalf. This may be forfeited, subject to the terms and conditions of the service, as a result of cancellation.
4.10. When ordering a product or service, you may be required to provide your Payment Card details. If you request and authorise to use your Payment Card in order to pay a Supplier for products or services, you acknowledge and agree that RED CIRCLE shall have no liability in respect of or be responsible in any way whatsoever in respect of the use of your Payment Card provided that we act in accordance with the instructions issued by you. You will always be notified of these fees prior.


5. Termination of Membership

5.1. You are entitled to an initial 3-month grace period should you change your mind on membership, during which time you can cancel your membership immediately. You won’t be charged for this period.
5.2. After your grace period, if you do not wish to renew Membership you must notify the membership team via email to [email protected] or app and provide 1 calendar months’ notice.
5.3. Any outstanding payments owed to RED CIRCLE will be taken from your registered credit card upon termination of your membership.
5.4. There is no refund available for membership fees for periods during your registered membership.
5.5. If you have terminated your membership and wish to re-activate it, you may do so by either emailing the membership team or through re- registering in the app. Re-activated membership won’t provide another 3-month grace period.


6. Providing Services

6.1 We will provide services to you in accordance with the Member's particular Requests, we will not be required to provide or facilitate the supply of products and/or services which we deem at our sole discretion may violate applicable laws, standards and/or regulations or may offend taste and decency in the relevant jurisdiction. We reserve the right to decline any instruction from you on the grounds that it is outside of our remit, or it is illegal or immoral.
6.2 We will use its reasonable endeavours to meet any performance dates specified, but any such dates shall be estimates only and time shall not be of the essence for performance of any Services.
6.3. For Black Membership - you will be allocated a Personal Assistant who will be available to you throughout the year to manage your requests available 24/7. For Platinum Membership - you will have access to a team of lifestyle management team who will be available to you throughout the year to manage your requests available from 9am to 6pm (CET time) Monday to Friday.
6.4. You may place requests by phone, messaging, email or using APP and must provide us with all information necessary in order to carry out a request. If we are unable to fulfill a request, we will inform you as soon as reasonably practicable.
6.5 We will have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and we will notify the Member in any such event.
6.6. You acknowledge that RED CIRCLE reserves the right to accept commissions upon the supply of products or performance of services by any Supplier.
6.7. The Member agrees that the purchase of any Products by RED CIRCLE on the Member’s behalf forms a contract between the Member and the Supplier, while RED CIRCLE is not a party to such contract. Suppliers shall be therefore solely responsible for the supply of the Products.
6.8. We are not responsible for delays outside of our control. If our supply of the services is delayed by an event outside of our control, then we will contact you as soon as possible and we will take steps to minimise the effects of the delay. Provided that we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any services you have paid for but have not received. Similarly, we cannot be held liable for any delays caused by third party suppliers.
6.9. We may need certain information from you so that we can supply the services to you, for example, your personal details, bank details, and passport details. We will not be responsible for supplying the services late or not supplying any part of them if this is caused by you not providing us with the information, we need within a reasonable time of us asking for it.
6.10. Where the Products are delivered outside the EU, any applicable customs duties and sales taxes shall not be refundable through RED CIRCLE. The Member shall be solely responsible for the recovery of such funds. Furthermore, RED CIRCLE shall not be liable for any items held by any customs or border authorities.
6.11. Suppliers are responsible for providing you with the services, products, and benefits you request us to order on your behalf from time to time. RED CIRCLE shall communicate with Suppliers on your behalf unless it is more appropriate for you to contact the Supplier directly.


7. Force Majeure

Neither RED CIRCLE nor the Member shall be liable for default or delay for unavoidable or unforeseeable causes beyond its reasonable control (the “Force Majeure Events”). The non-performing party will be excused from continuing the affected performance until it is able to recommence its performance. The affected party will make reasonable efforts to recommence.


8. Queries & Complaints

If you have any queries or complaints about the services, please contact your Personal Manager. We shall work to resolve your complaint as soon as reasonably practicable. We are not responsible for the failure of any third-party suppliers to provide any goods or services which we have booked on your behalf, or the negligence of such third party in providing them. However, we will make reasonable efforts to assist in the resolution of any such issues.


9. Liability

9.1. RED CIRCLE hereby disclaims any liability for any act or omission of any Supplier or any loss incurred by the Member as a result of any act or omission of any Supplier.
9.2. In no event will RED CIRCLE, its affiliates, directors and employees be liable for any indirect, special, consequential, compensatory or incidental damages whatsoever (including without limitation, lost profits, lost data or business interruption) arising out of the Services, supply of any Products or reliance upon any information or recommendation contained in the Terms.
9.3. RED CIRCLE’s aggregate liability to the Member in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising out of or in connection with the performance of the Services shall be limited to the amount of the Membership Fee effective at the time the relevant liability arose.
9.4. Nothing herein excludes RED CIRCLE’s liability for:
(a) any breach of the Terms implied by the Applicable Law, with regard to which no liability may be excluded or limited;
(b) death or personal injury caused by RED CIRCLE’s negligence, or
(c) fraud.
9.5. The Member agrees to defend, indemnify and hold harmless RED CIRCLE, its affiliates, directors and employees from and against all claims, actions, losses, liabilities, damages, costs, and expenses, arising from or connected with the Member’s use of the Services and/or Products, or the Member’s infringement of any intellectual property of a third party.


10. Changes to the Terms

We may make changes to these Terms from time to time. RED CIRCLE shall give prior notice to the Member of any addition and/or changes. In case the Member does not agree with the amended Terms, the Member may notify in writing that he/she does not accept them before their proposed entry into force. In such a case this agreement with the Member will be terminated and he/she will no longer be eligible for the Services.


11. General

11.1. Personal Data. We will only use your personal information as set out in our Privacy Policy. You can find our Privacy Policy available at www.clubredcircle.com. Any Personal Data will be processed in strict compliance with the applicable data protection laws, enactments, regulations, orders, standards and other similar instruments, each as may be amended from time to time.
11.2. Assignment: The Member shall not, without the prior written consent of RED CIRCLE, assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms. RED CIRCLE may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights under these Terms and may subcontract or delegate in any manner any or all of its obligations under these Conditions to any third party or agent.
11.3. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
11.4. Waiver. Failure or neglect by either party to enforce any provision of these Terms shall not be construed nor shall be deemed to be a waiver of that party’s rights under these Terms and shall not prejudice that party’s rights to take subsequent action.
11.5. RED CIRCLE may vary these Terms from time to time and will notify you of any changes in a timely manner. Your continued use of your Membership constitutes acceptance of such variations to these Terms.
11.6. Governing law and jurisdiction. These Conditions, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law.
All disputes arising out of or in connection with this document shall be settled by the London Court of International Arbitration and if an agreement will not be reached by all the parties involved the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
